Terms and Conditions

These terms govern your use of Keiki: the platform for building conversational agents and launching them across messaging, email, and team chat.

Last updated August 18, 2026

01

Acceptance of these terms

These terms are a legally binding agreement between you and Zero Email, Inc., a Delaware corporation ("Keiki", "we", "us", or "our").

By creating a Keiki account or using onkeiki.com and the Keiki platform (the "Service"), you agree to these terms. If you are agreeing on behalf of a company or other organization, you confirm that you have the authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree with these terms, do not use the Service.

02

The Service

Keiki lets you configure an agent from your own products, policies, voice, memory, and tools, connect it to channels such as SMS, WhatsApp, Slack, Telegram, email, and Microsoft Teams, and operate it: reviewing conversations, approving sensitive actions, and improving it over time.

The Service is under active development. We may add, change, or remove features, and we may set or adjust usage limits. We will not make a material reduction in core functionality of a paid plan during a billing period without telling you.

03

Accounts and security

You are responsible for the accuracy of your account information, for the security of your credentials and API keys, and for everything that happens under your account.

Tell us promptly at nizzy@orchid.ai if you believe your account, an API key, or a connected channel has been compromised.

04

Organizations and members

Accounts can belong to an organization with multiple members and roles. Whoever administers an organization can invite and remove members, change roles, and access the organization’s agents, knowledge, conversations, keys, and billing.

If you join an organization using an email address on its domain, the organization’s administrators may manage your membership and see the work you do inside that organization.

05

Acceptable use

You may not use the Service to:

  • break the law, or infringe anyone’s intellectual property or privacy rights
  • send unsolicited or unlawful messages, or otherwise violate the rules of a messaging provider or carrier, including consent and opt-out requirements
  • impersonate a person or organization, or hide that a message came from an automated agent where disclosure is required
  • deploy an agent to give medical, legal, or financial advice in a way that requires a licensed professional, or to make decisions that require human judgment under applicable law
  • attempt to gain unauthorized access to the Service, other customers’ data, or the systems and models we depend on
  • probe, scrape, overload, or reverse engineer the Service, except as permitted by law

We may suspend an agent, a channel, or an account to protect the Service, our other customers, or the people your agents talk to.

06

Your agents and how you supervise them

Agents act on your behalf. You decide what an agent knows, what tools it can call, how much autonomy it has, and which actions require human approval: and you are responsible for what your agents say and do, including any messages they send and any actions they take in connected systems.

Language models are probabilistic. An agent can be wrong, incomplete, or confidently mistaken. Set boundaries appropriate to the stakes of the conversation, require approval for sensitive actions, review conversations, and do not use the Service where an incorrect answer or unsupervised action would create serious risk to health, safety, or legal rights.

You are responsible for the notices, consents, and opt-out handling that apply to the conversations your agents have, including telecom, email, and privacy requirements in the places your customers are.

07

Third-party services

The Service connects to third parties you choose: messaging and email providers, model providers, and any tools or APIs you wire into an agent. Your use of those services is governed by their own terms, and we are not responsible for their availability, content, or acts.

When you connect a third-party account, you authorize us to access and use it as needed to run the features you enabled.

08

Your content

You keep all rights to the knowledge, configuration, prompts, and conversation data you bring to or generate on the Service ("Your Content"). You grant us the limited license needed to host, process, and transmit Your Content in order to provide the Service, keep it secure, and support you.

We do not use Your Content to train foundation models.

If you send us feedback or ideas, we may use them to improve the Service without obligation to you.

09

Our intellectual property

The Service, including its software, design, and brand: the Keiki name and mark among them: belongs to us and our licensors. These terms grant you a right to use the Service, not any ownership in it.

10

Fees, usage, and cancellation

Paid plans and usage-based charges are described at checkout and in your account. Fees are billed in advance for the plan period and in arrears for usage, are payable in the currency shown, and are exclusive of taxes unless stated otherwise.

Some features add costs when they run on Keiki-hosted infrastructure or through a provider we pay on your behalf; where a feature allows it, you can bring your own provider key instead.

You can cancel at any time from your account settings. Cancellation stops future charges and takes effect at the end of the current billing period; charges already incurred, including usage, are not refunded except where required by law or expressly agreed in writing.

If a payment fails or is disputed, we may suspend paid features until it is resolved.

11

Beta features

Features labelled early access, preview, or beta are provided as-is, may change or disappear, and may be less reliable than the rest of the Service. Use them accordingly.

12

Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that agent output will be accurate or suitable for your purpose.

13

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total liability arising out of or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim.

14

Indemnity

You will defend and indemnify us against third-party claims arising from Your Content, from what your agents say or do, or from your use of the Service in breach of these terms or applicable law.

15

Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these terms, if your use creates risk or legal exposure, or if we are required to by law.

On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period unless the law requires otherwise, and then delete it in the ordinary course.

16

Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these terms or the Service will be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You agree to waive any right to participate in a class action or class-wide arbitration.

17

Changes to these terms

We may update these terms as the Service changes. When a change is material we will give notice: in the product or by email: before it takes effect. Continuing to use the Service after that means you accept the updated terms.
